Corporate Paralegal
The Corporate Paralegal for the Global Finance & Governance group in the Legal Department will be responsible for carrying out duties in a corporate legal setting under the guidance of attorneys, which includes supporting Securities and Exchange Commission (“SEC”) filings and public company compliance, SOX compliance, Board of Directors materials, financing transactions and due diligence, global subsidiary management, designated insider list administration and communications for trading windows, and drafting documents as needed, developing matter information, and supporting corporate attorneys as needed. This position is full-time and based in Estero, FL or Atlanta, GA.
A Day in the Life:
This role reports to the Vice President, Chief Counsel, Finance and Governance and provides paralegal support for the corporate team’s three critical pillars: (1) public company compliance, (2) corporate governance, and (3) transactional support for financing transactions.
The hourly rate for this role starts at $27 an hour, commensurate with experience.
What You’ll Do:
- Communicate effectively up, down, and across the company to gather information needed by the team, and to share information as appropriate. Requires gaining a thorough knowledge of company policies, practices, and people, particularly as it relates to the work of the teams supported. Also, requires building and maintaining good relationships with internal and external contacts.
- Support attorneys with the preparation of public company SEC filings pursuant to the Securities Exchange Act of 1934, including Form 10-Ks, Form 10-Qs, Form 8-Ks, and Proxy Statement.
- Support administration of the Insider Trading Policy, including managing correspondence for trading windows/blackout dates. And support processes driven by the Related Person Transaction Policy and Procedures.
- The role will support Section 16 compliance including Form 3, Form 4, and Form 5 filings, including making certain filings through Workiva.
- Support the subsidiary management function across domestic and international subsidiaries, including managing the annual director and officer list review, updating hCue database on an as-needed basis, and preparation of initial drafts of resolutions.
- Prepare, manage, and support quarterly covenant compliance process as part of SOX compliance, including managing compliance survey distributions.
- Manage and support corporate and asset-backed financing transactions, including managing datarooms (Datasite) and uploading of documents, collecting due diligence items, managing due diligence processes, collection of signatures pages (DocuSign), among others.
- Support and help facilitate “know your customer” or “KYC” requests from banking partners through the Treasury team and other business counterparts.
What We’re Looking For:
- An Associates’ or Bachelors’ degree is preferred, but a GED or High School diploma is required;
- At least 5 to 10 years’ experience as a Corporate Paralegal in a law firm or corporate environment, preferably supporting public company compliance, corporate governance, and/or large corporate transactions.
- Paralegal Certificate is preferred but not required.
- Notary public certification is preferred, but not required.
- Proficiency in Outlook, PowerPoint, SharePoint, Word, Excel, AdobePro, Concur, Oracle Financials, PolicyTech, hCue, Datasite, Workiva, DocuSign, among others, and a willingness to learn new technologies.
- Ability to collaborate with internal and external stakeholders across multiple functions and locations and manage multiple inputs within a complex transaction.
