Senior Paralegal (Remote/Hybrid)

The Senior Paralegal will report to the Legal Department’s Corporate Governance & Disclosure team and provide internal clients with support, primarily focusing on corporate governance and securities matters.
Key Duties and Responsibilities:
- Draft and review advanced/complex legal documents such as corporate governance documents, regulatory filings, correspondence, contracts, etc.
- Assist on corporate governance matters, including maintenance of the company’s global subsidiaries and related activities and support and maintenance of our Insider Trading Policy and processes.
- Prepare and provide support on required filings, including the company’s Annual Report on form 10-K, 10-Qs, proxy, 8-K, and Forms 4.
- Drive and contribute to various department and cross-functional process improvement projects.
- Participate in various other Legal & Compliance Department projects and initiatives.
- Coordinate input from relevant internal stakeholders (e.g., IP legal, accounting).
- Assist with transactions and related logistics, as needed, with respect to any necessary filings.
- Support ongoing company-wide initiatives, including policy development, template standardization and adoption of governance-related technologies.
- Train and guide business teams on corporate governance and disclosure topics, issues, and best practices.
- Communicate effectively and in a timely manner with business colleagues on corporate governance and disclosure-related matters.
Knowledge and Skills:
- Experience in corporate paralegal work, including corporate governance, entity management, SEC filings (including Section 16 and form 4s), insider trading policy and administration.
- Ability to work independently with minimal supervision.
- Exceptional organizational and time management skills.
- Strong verbal and written communication skills.
- Must be collaborative, with strong attention to detail and operations minded.
Education and Experience:
- A Bachelor's degree, Associate's degree or paralegal certification
- Typically requires 6 years of corporate paralegal experience, or the equivalent combination of education and experience.
