Legal Analyst / Corporate Paralegal

We are seeking a highly organized and detail-oriented Legal Analyst / Corporate Paralegal to support a fast-paced legal and compliance team within a growing organization focused on complex corporate and project finance transactions. This role offers strong exposure to acquisitions, tax equity financings, debt transactions, corporate governance, and renewable energy projects.

Reporting directly to the Chief Compliance Officer, this position is ideal for a motivated professional looking to build experience in sophisticated transactional work while partnering closely with internal business leaders and outside counsel.

What You’ll Do

Support the legal team in closing acquisitions, project finance, tax equity, and debt transactions

  • Draft and review corporate governance and closing documents, including:
  • Secretary and officer certificates
  • Resolutions
  • Certificates of incorporation/formation
  • Incumbency certificates

Manage virtual data rooms, due diligence requests, and transaction closing checklists

Coordinate UCC lien searches, tax lien searches, and judgment lien searches, and summarize findings

Order certified charters and good standing certificates from state agencies

Prepare execution versions of transaction documents and assemble fully executed closing binders

Organize and collect signature pages and transaction deliverables

Draft and file entity formation documents and foreign qualifications

Review title commitments and related real estate documentation

Proofread and review legal documents, including NDAs

Collaborate with internal stakeholders, outside counsel, and local counsel throughout the transaction lifecycle

What We’re Looking For

1+ years of experience as a corporate paralegal, legal analyst, or project finance paralegal

Experience supporting corporate transactions, financing transactions, or M&A activity

Strong organizational and project management skills with the ability to manage multiple priorities simultaneously

Exceptional attention to detail and ability to maintain confidentiality

Strong written and verbal communication skills

Self-starter who thrives in a fast-paced, collaborative environment

Ability to analyze requests, identify required information, and respond efficiently

Proficiency in Microsoft Office Suite and database/document management tools

Experience with a law firm, investment management firm, infrastructure, renewable energy, or corporate legal department is a plus

Education

Bachelor’s degree required
