Investment Exposure — Without the Traditional IB Lifestyle/Hours
Meteora Capital is hiring an Investment Analyst and Associate to join its SPAC deal team. This is an investment role — the individual will evaluate transaction opportunities, form views on valuation, lead diligence/data room review, prosecute a funnel of M&A candidates and support the structuring and execution of investments across Meteora's SPAC platform. Benefit of working for an institutionally backed platform vs a single SPAC.
The role spans the full transaction lifecycle: from initial investment evaluation through deal structuring, diligence, capital markets execution, and closing. It sits at the intersection of investing, structuring, and execution — offering the kind of broad transaction exposure that typically takes years to access in more traditional institutional settings.
The schedule is market-driven (7 days/week), but workloads are intentionally managed and typically do not exceed ~60 hours/week.
This role is well-suited for candidates on an investment or I-banking career path who want to stay close to transactions and complex deal situations, without the constraints of a traditional institutional environment.
What You'll Do
Investment Evaluation & Transaction Analysis
* Review and assess SPAC and M&A transaction opportunities across multiple sectors, forming views on risk, structure, and return profile.
* Build transaction and scenario models covering redemptions, PIPE sizing, dilution, sponsor economics, and capital structure sensitivities.
* Analyze SEC filings and deal documentation (S-4s, proxy statements, trust agreements) to assess structure, risk, and investor outcomes.
* Prepare deal summaries and internal investment memos that synthesize diligence findings into a clear investment view.
SPAC Execution & De-SPAC Process
* Support execution of SPAC IPOs and business combinations across the full transaction lifecycle — from initial structuring through signing, proxy filing, shareholder vote, and closing.
* Manage data rooms, diligence trackers, deal timelines, and closing checklists across concurrent live transactions.
* Engage directly with target company CEOs, CFOs, and management teams throughout diligence, structuring, and transaction execution — with meaningful exposure to how operating businesses evaluate and navigate the public markets process.
Diligence & Counterparty Coordination
* Support financial and commercial diligence on potential targets.
* Coordinate directly with external counsel, investment bankers, auditors, and target company management to drive workstreams and meet regulatory deadlines.
* Work alongside bankers, legal advisors, sponsors, and management teams across multiple active deals.
Market Intelligence & Deal Support
* Track SPAC market activity, comparable transaction terms, redemption trends, PIPE availability, and trust mechanics.
* Support investor-facing materials including management presentations and PIPE marketing decks where relevant.
Structured Investments — Equity & Credit
* Support the structuring and execution of Meteora's investments in connection with De-SPAC transactions, including equity, structured equity, and credit instruments such as convertible notes, forward purchase agreements, and other bespoke financing solutions tailored to transaction-specific risk and return objectives.
What We're Looking For in the Analyst and Associate Candidates
* 1–5 years of relevant experience in investment banking, M&A, private equity, hedge funds, special situations, transaction advisory, or a similar investment or transaction-focused role.
* Strong financial modeling, valuation, and analytical skills developed through prior deal or transaction experience.
* Ability to form and articulate an investment view — not just process transactions, but think critically about risk, structure, and outcomes.
* Familiarity with SEC filings, SPAC mechanics (trust, warrants, PIPEs, De-SPAC lifecycle), and public-market transactions preferred.
* Demonstrated ability to manage multiple workstreams and operate in fast-paced, deal-driven environments.
* Strong organizational and project management skills — capable of driving multi-party processes with competing deadlines.
* Detail-oriented, intellectually curious, and comfortable operating with limited hierarchy and high ownership expectations.
* Bachelor's degree in Finance, Economics, Accounting, or related field.

Compensation & Structure
Compensation will be competitive and commensurate with experience, and includes a discretionary annual bonus. The role also provides access to sponsor economics (including potential allocations of founder shares in SPAC vehicles on a deal-by-deal basis) representing performance-driven, long-term upside tied directly to successful transaction execution.
