CL’s dedicated secondary advisory team executes transactions across industries, including private equity, venture capital, private credit, and real assets. The team primarily serves as a sell-side advisor for two key transaction types: GP-led transactions, which are initiated by sponsors for specific assets they hold, and LP-led transactions, which involve portfolio sales for a diverse range of clients, including pension funds, endowments, sovereign wealth funds, and asset managers.
For GP-led secondary transactions, the team provides solutions such as single and multi-asset continuation funds, tender offers, preferred equity structures, and NAV loans. These transactions enable GPs to extend asset holding periods, raise additional capital for growth, strengthen LP relationships, enhance DPI, and improve GP economics.
For LP-led secondary transactions, the team advises on single-fund or portfolio sales, fund valuations, and portfolio-level financing. LP-driven transactions help investors generate liquidity for various needs, including capital redeployment and portfolio rebalancing, often driven by the “Denominator Effect.”
In 2024, secondary market volume reached an all-time high of $155 billion—up nearly 40% from 2023. GP-led transactions accounted for 42% of the market, LP-led transactions represented 51%, and preferred equity transactions made up 7%. This marks the highest secondary transaction volume since the 2021 peak, exceeding it by 15%. The secondary market has remained resilient since COVID, in contrast to IPOs, M&A, and PE acquisitions, which have declined. As private markets mature, the sector is well-positioned for growth, with sponsors and LPs increasingly seeking strategic alternatives for their private market assets.
