Role Summary
Support live transactions from NDA to close: diligence, contracts, compliance, and entity workstreams. You will partner directly with the Managing Partner and outside counsel to drive precision and speed in our deal process.

Responsibilities (How You’ll Deliver)
- Draft, redline, and coordinate NDAs, teardowns, and side letters; manage versions and countersignature.
- Prepare LOI legal exhibits (structure, R&W framework, indemnity caps/baskets, survival, escrows).
- Build and maintain closing checklists; track third-party consents, certificates, and filings.
- Support entity formation & governance (LLCAs, joinders, resolutions, officer certs, cap tables).
- Coordinate MDAs/data room controls; enforce permissions, audit logs, and labeling of confidential materials.
- Summarize commercial/operational contracts (assignability, change-of-control, termination, exclusivity, MFN).
- Liaise with outside counsel; consolidate issues lists, timelines, and deliverables.
- Maintain deal files & registers (MNPI, litigation, IP, regulatory) with standardized naming conventions.
- Research targeted state/federal regulatory items (licenses, filings, HSR thresholds—informational only).
Must-Have Qualifications (1L/2L Only)
- Current 1L or 2L at an accredited U.S. law school (only 1L/2L candidates will be considered).
- Strong redlining skills (issue-spotting, blackline discipline, clause libraries).
- Demonstrated precision with confidentiality/MNPI protocols and document control.
- Proficient in Google Workspace and Microsoft 365; comfort with CRMs and data rooms (we use Bitrix + GDrive).
- Clear, concise writing; one-page memo discipline; proactive follow-through.
Nice-to-Have
- Prior exposure to private equity/M&A workflows or clinics.
- Experience with entity governance and capitalization documents.
- Familiarity with closing mechanics (escrows, R&W insurance process, bring-down certs).
