Position Overview

We are seeking an experienced Of Counsel to support the legal, regulatory, and transactional needs of a pro serve company operating in the real estate advisory and financial engineering verticals. This requires a strong legal foundation, sound business judgment, and the ability to work through highly complex regulatory and transactional matters.

Key Responsibilities

Advise on federal, state, and local regulatory and compliance matters applicable to hedge fund operations

Support transactional finance activities, including investment structures, financing arrangements, and related documentation

Handle real estate transactions, including acquisitions, dispositions, leasing, foreclosure matters, and landlord-tenant issues

Manage and oversee litigation, including coordination with outside counsel

Draft, review, and negotiate a wide range of contracts and legal documents

Provide legal guidance on governance, risk management, and operational matters

Stay current on evolving regulations impacting financial markets and alternative investments

Required Qualifications

Active bar admission in good standing (U.S.)

5+ years of experience practicing law, preferably with exposure to financial services, investment management, or real estate

Demonstrated experience in:

- Government, compliance, and regulatory matters

- Transactional finance

- Transactional real estate

- Foreclosure and landlord-tenant law

- Litigation management

Preferred Qualifications:

- MBA or MSc in Business, Finance, Economics, or quantitative field to support JD

- Knowledge of UCC securitization structures

- Familiarity with stablecoins, digital assets, or blockchain-related regulatory frameworks
